BMS and Bain Capital Launch New Immunology-Focused Biotech
Bristol-Myers Squibb (BMS) and Bain Capital have established a new independent biopharmaceutical company focused on developing innovative therapies for autoimmune diseases, the companies announced on Monday.
The newly formed company launches with five immunology assets in-licensed from BMS and a US$300 million financing commitment led by Bain Capital. The venture represents a significant strategic move in the immunology sector, which continues to see substantial growth and investment across the pharmaceutical industry. This venture will advance a portfolio of promising immunology candidates, including a late-stage asset targeting lupus, multiple clinical and preclinical candidates addressing various autoimmune conditions, and novel mechanisms targeting unmet patient needs, among others.
"These assets have significant potential, and we are confident that this new company will drive their development to ensure greater impact for patients," stated Julie Rozenblyum, Senior Vice President of Business Development at BMS, in a press release. "Bain Capital's exceptional track record in building successful life science companies makes them ideally suited to advance these assets."
The transaction aligns with BMS's broader strategic shift within its immunology portfolio. While maintaining approximately 20% equity stake in the new venture, BMS will focus its internal immunology efforts on therapies that "reset the immune system and promote tissue repair."
This development follows several similar moves in the pharmaceutical sector, including AstraZeneca's recent announcement of a US$50 billion investment in US operations amid potential tariff concerns.
The formation of this new entity comes during a period of significant restructuring for BMS, which earlier this year announced cost-cutting measures of approximately $3.5 billion through 2027. For Bain Capital, this venture adds to their growing portfolio of life sciences investments. The private equity firm has previously established successful biotech companies using a similar model of in-licensing promising drug candidates.
Industry analysts note that the transaction represents a growing trend of pharmaceutical companies spinning out specialised assets to focused biotech ventures backed by private capital, allowing for dedicated development resources while maintaining potential long-term financial upside. The companies have not yet disclosed the name of the new entity or specific timelines for clinical development milestones.
